1 Introduction
1.1 Welcome to www.mediacredits.co.za, a website operated by Green Media (Pty) Ltd (registration number 2021/946681/07), a limited liability company incorporated in the Republic of South Africa ("Green Media" / "we"/ "us" / "our") in respect of its MediaCredits™ platform.
1.2 "You" / "you" / "your", means the user of this website and/or the brand owner entity that you represent.
1.3 By accessing and/or using this website, you:
(a) warrant that you are 18 years of age or older and that your legal capacity is not diminished due to mental incapacity; and
(b) agree to these terms and conditions which govern the relationship between Green Media and you in relation to your access to and use of the website. If you do not agree with these terms and conditions, please refrain from using the website.
1.4 You acknowledge and agree that this website is only for use by South African citizens and legal permanent residents of South Africa.
1.5 Green Media, enables brand owners who wish to exchange their products, services and/or vouchers for media space, to enter into trade exchange transactions with Green Media. In exchange for the products, services and/or vouchers of the brand owner, Green Media issues media credits to the brand owner. Such media credits represent the value of the media space to be provided by Green Media and which the Brand Owner is entitled to consume incrementally through further agreements (flighting schedules) agreed between the parties under the applicable trade exchange agreement.
1.6 This website housing the MediaCredits™ platform, allows eligible brand owners to view and manage access to the media space which Green Media has available from time to time, and to select media space against which brand owners may redeem their media credits. Once selected, provided that such media space is still available and is approved by Green Media, such media space will be specified in the applicable flighting schedule to be concluded between the parties in respect of the applicable trade exchange transaction.
2 Website Access and Usage
2.1 Access to the MediaCredits™ platform on this website is strictly by invitation only.
2.2 You will only be eligible to use this website, including all features, dashboards, tools and services made available through this website, if:
(a) you have registered as a brand owner at greenmedia.co.za;
(b) you have accepted the terms and conditions of Green Media's Trade Exchange Subscription Agreement for brand owners and have entered into a further Trade Exchange Agreement(s) with Green Media; and
(c) you have been invited by Green Media to use the MediaCredits™ platform, have completed the vetting process conducted by Green Media, and have been issued with a MediaCredits™ platform account and login credentials. Green Media reserves the right, in its sole discretion, to approve or decline access to this website and the MediaCredits™ platform.
2.3 The terms applicable to trade exchange transactions and related media credits, are set out in the Trade Exchange Subscription Agreement and related Trade Exchange Agreement(s) referred to in paragraph 2.2(b) above. Accordingly, your access to and use of this website is also subject to the terms and conditions contained in the aforementioned agreements.
2.4 Once you have been provided with an account and login details by Green Media, this website will allow you to view certain details in relation to media space which Green Media has available from time to time, as well as media credits issued to you in terms of the agreements referred to in paragraph 2.2(b) above and to perform certain functions, which may include (as determined by Green Media in its sole discretion from time to time), the ability to:
(a) view media space which is available for consumption using media credits;
(b) select such media space (in accordance with the predefined increments specified by Green Media from time to time), subject to availability and approval by Green Media after such selection;
(c) receive an automated acknowledgement email in respect of your selection of media space;
(d) view selected media space which is under review by Green Media (such media space will appear in your dashboard under the "Pending" tab);
(e) view selected media space that has been reviewed and approved by Green Media; and
(f) view the media space in which flighting has occurred (such media will appear under the "Flighted" tab of the dashboard).
2.5 Selected and approved media space will be subject to the parties entering into the necessary flighting schedule under the agreements referred to in paragraph 2.2(b) above and will be subject to the terms and conditions of the applicable media owner.
2.6 No refunds will be issued once media space selected by you has been approved by Green Media and media space selections may only be amended subject to Green Media's further approval in its sole discretion.
2.7 Media space which is shown as available on the MediaCredits™ platform, may consist of a combination of media space which Green Media has acquired the rights to use and/or media space donated by media owners.
3 Fees and Charges
The use of the MediaCredits™ platform does not carry a separate charge and the consideration is as regulated in the agreements referred to in paragraph 2.2(b) above. Invoicing will occur as set out in the aforementioned agreements.
4 Account Security Fraud Prevention and Compliance
4.1 You are responsible for maintaining the confidentiality of your login details provided by Green Media and for all activity conducted on your MediaCredits™ platform account. Should you suspect any unauthorised access to and/or use of your account and/or any fraudulent activity, you are required to notify Green Media immediately.
4.2 All transactions performed on the website are subject to review by Green Media, including to prevent fraud or misuse. Green Media reserves the right to investigate and/or suspend or terminate your access to and/or use of this website and/or your MediaCredits™ platform account, at any time in its sole discretion, including as a result of unauthorised access to and/or use of your account, actual or suspected fraud, misuse of the MediaCredits™ platform and/or any breach of the terms of the agreements referred to in paragraph 2.2(b) above and/or these website terms and conditions.
5 Limitation of Liability
5.1 The website and the access to and use thereof is provided "as is," with no guarantees of accuracy, uninterrupted availability and/or error-free functionality. Green Media is not responsible for and will not be liable for any claims, damages (whether direct, indirect, consequential, incidental or special damages), liability, costs, losses and/or expenses relating to and/or arising from the user's access to and/or use of the website and/or the MediaCredits™ platform, the information (including personal information) of any user, or other materials transmitted through the website and/or any related systems of Green Media.
5.2 Green Media will not be liable for any claims, damages, liability, costs, losses and/or expenses relating to and/or arising from any reliance placed on the content or materials on this website by any person. Where AI is used to generate content and/or materials on this website, Green Media does not warrant that such content is complete or accurate, and Green Media will not be liable for any incomplete or incorrect content or materials.
5.3 Further limitations (in addition to the limitations set out in paragraphs 5.1 and 5.2 above) to the liability of Green Media may apply, as set out in the agreements referred to in paragraph 2.2(b) above.
6 Amendments to Terms and Conditions and Conflicts
6.1 Green Media will be entitled to amend and/or update these website terms and conditions at any time and from time to time. You (as the user of the website) acknowledge that by visiting this website, you will become bound to the latest version of these terms and conditions available and displayed. The latest version of these terms and conditions will supersede and replace all previous versions. It is your responsibility to review the latest version of these website terms and conditions each time the website is accessed and/or used. These terms and conditions were last updated on 09 March 2026.
6.2 In event of a conflict between these terms and conditions and those set out in the agreements referred to in paragraph 2.2(b) above, the terms and conditions of the agreements referred to in paragraph 2.2(b) will prevail, unless these terms and conditions are specifically indicated to prevail over the aforementioned agreements in certain respects.
7 Governing Law
These website terms and conditions are governed by the laws of the Republic of South Africa and you consent to the non-exclusive jurisdiction of the South African Courts.

8.1 Your privacy is important to us. Please see our Privacy Policy for further information. In addition, by using this website you consent to the collection and processing of your data (including personal information, as defined in the Protection of Personal Information Act 4, of 2013) for operational, reporting and compliance purposes of Green Media.

The use of such media space by you is strictly subject to the terms and conditions of the agreements referred to in paragraph 2.2(b) above.
11 General
11.1 The rule of construction that an agreement will be strictly interpreted against the party responsible for its drafting or preparation will not apply to these terms and conditions.
11.2 Subject to paragraph 2 above, these terms and conditions will constitute the whole agreement between Green Media and the user in respect of the subject matter contained herein.
11.3 The failure of Green Media to enforce strict performance of any of these terms and conditions, or the delay or failure of Green Media to exercise any right to which it is entitled hereunder, will not constitute a waiver of such provision or right and will not prevent Green Media from later enforcing such provision or exercising such right.
